Urgent Action Needed!
Shareholder engagement, including proxy voting and shareholder resolutions, is an important tool for foundations seeking to align their investments with their missions and values. However, proposed changes to Securities and Exchange Commission (SEC) rules could significantly limit investors’ ability to use shareholder resolutions to influence corporate practices and accountability.
This session will feature the Interfaith Center on Corporate Responsibility (ICCR), a leader in the field. ICCR will provide an overview of the history and impact of shareholder resolutions, explain the SEC’s proposed rescission of Rule 14a-8, and discuss what these changes could mean for foundations and impact investors.
Time is limited to weigh in. The SEC’s public comment period closes November 20, 2026. Participants will learn why this proposed change matters, how to submit comments, and what opportunities exist to help shape the outcome.
Who should attend: Foundation leaders, investment committee members, staff engaged in mission-aligned investing, OCIOs, investment managers, and others interested in shareholder engagement.
